クミアイ化学工業株式会社（代表取締役社長：小池好智、本社：東京都台東区）は、2021
年 2 月 1 日付けでシンガポール Asiatic Agricultural Industries Pte. Ltd.（以下 AAI 社）の
株式 60%を取得し、 同日付けで AAI 社は当社の連結子会社となりましたのでお知らせいた
します。


当社は、中期経営計画で重要方針の一つに掲げた「販売ルートの多様性確保」を進めてお
ります。本件の背景と目的の詳細については、2020 年 12 月 14 日付け 当社リリース「シ
ンガポール農薬製造販売会社の株式取得に関する契約締結のお知らせ」 をご参照ください。


なお、本件が当社の 2021 年 10 月期の連結業績に与える影響については、現在、買収後
の取得原価配分（Purchase Price Allocation）中のため確定しておりません。必要に応じて
速やかに公表いたします。

Announcement of Acquisition of Shares in Asiatic Agricultural Industries

Kumiai Chemical Industry Co., Ltd. (President and CEO: Yoshitomo Koike, Head Office:
Taito-ku, Tokyo, “Kumiai Chemical”) completed the acquisition of 60% shares of Asiatic
Agricultural Industries Pte. Ltd. in Singapore (“AAI”) on February 1, 2021 and AAI
became a subsidiary of Kumiai Chemical as of the same date.

Kumiai Chemical pursues "securing a diversity of distribution channels" which is one of the
key strategies in its new mid-term business plan. Please refer to the previous release
“Announcement of Acquisition of Shares in Singaporean Agrochemical Company” for the
background and purpose of the acquisition.

The impact of the acquisition on Kumiai Chemical’s consolidated business performance of
FY2021 is being examined. Further details regarding the impact will be disclosed, as
needed, once the analysis on purchase price allocation for the acquisition is completed.
