Dentsu Group Announces Amendment Regarding
Personnel Changes

Dentsu Group Inc. (Tokyo: 4324; ISIN: JP3551520004; President & CEO: Toshihiro
Yamamoto; Head Office: Tokyo; Capital: 74,609.81 million yen; hereinafter “the company”)
issued a press release entitled “Dentsu Announces Group Management Structure and
Prospective Executive Members for FY2020” on November 14, 2019 while the company was
still operating under its former name Dentsu Inc.


In that press release it was announced that Tim Andree, a Director who is not an Audit and
Supervisory Committee Member, and who is currently a Director and an Executive Vice
President of the company as well as the Executive Chairman & CEO of Dentsu Aegis Network
Ltd.*, a consolidated subsidiary of the company, would, if he had been reappointed a Director
of the company at the Ordinary General Meeting of Shareholders scheduled to be held in
March 27, 2020, be appointed as a Representative Director of the company at the Board of
Directors Meeting held after the aforementioned General Meeting. The Board of Directors,
however, has now decided not to appoint him to the Representative Director position.


If he is reappointed as a Director who is not an Audit and Supervisory Committee Member at
the Ordinary General Meeting of Shareholders, he will continue to serve as Director and
Executive Vice President of the company, and as Executive Chairman & CEO of Dentsu Aegis
Network Ltd. after the General Meeting.
